KEY RESPONSIBILITIES
- Advise startups, venture capital funds, investors, and emerging companies on investment and financing transactions.
- Review term sheets and conduct legal due diligence related to venture capital investments.
- Draft, review, and negotiate financing agreements, investment documents, and related corporate contracts.
- Coordinate with founders, investors, executives, financial advisors, opposing counsel, and other transaction professionals.
- Support transactions from initial structuring and negotiation through documentation, signing, closing, and post-closing matters.
QUALIFICATIONS & REQUIREMENTS
Experience
3-15+ years of experience in venture capital, corporate law, private equity, securities, mergers and acquisitions, or a related transactional practice.
Education
Juris Doctor (J.D.) degree from an accredited law school.
Certifications
Active admission to the applicable state bar and eligibility to practice as required.
